Terms of Use

These Terms of Use (the “Terms”) govern access to and use of the Zenji platform, websites, APIs, maps, directories, company pages, opportunity graph, and artificial-intelligence agents (together, the “Service”). By creating an account, claiming a company, submitting content, initiating a chat with an agent, or otherwise using the Service, you agree to be bound by these Terms and by the Privacy Policy. If you do not agree, you must not use the Service.

1. Operator and contractual scope
The Service is operated by Zenji (“Zenji”, “we”, “us”, “our”), a business-software offering made available on a software-as-a-service basis. These Terms form a legally binding agreement between Zenji and the natural or legal person using the Service (“you”, “User”, or “Client”).
Paid subscriptions and invoiced features are additionally governed by the Terms of Sale. In the event of conflict on billing, pricing, taxes, renewal or refunds, the Terms of Sale prevail. In the event of conflict on personal data, the Privacy Policy prevails.
2. Definitions
- “Account” means the passwordless workspace opened with a work email and authenticated by magic link and session token.
- “Company Profile” means a public or claimed record of a legal entity, including metadata, signals, showroom items and associated agent.
- “Agent” means an automated conversational system that answers questions about a Company Profile using retrieved context and language models.
- “HITL” means human-in-the-loop review: any outreach, financial, contractual or security-sensitive action proposed by an Agent remains pending until an authorised human approves it.
- “User Content” means information you submit, including profile data, claims, messages, documents, knowledge files and feedback.
- “Professional Use” means use in the course of a trade, business or profession, and not as a consumer for personal purposes.
3. Eligibility and accounts
The Service is intended for Professional Use by persons 18 years of age or older who have authority to bind the organisation they represent. You represent that the email address you provide is accurate, that you are authorised to use it, and that you will keep access to that mailbox secure.
You are responsible for all activity under your Account. Magic links, session tokens and API credentials must not be shared. Notify us promptly at legal@zenji.app if you suspect unauthorised access. We may refuse, suspend or reclaim an Account that is incomplete, impersonating, abusive, or used in breach of these Terms.
4. Description of the Service
Zenji provides a business discovery and opportunity network: search, maps, company and people directories, signals, warm-path introductions, workspace tools, and Agents attached to Company Profiles. Features, quotas and availability depend on the plan in force and may differ between public beta, Free, Pro and Enterprise.
We may modify, throttle, or discontinue non-material features, run maintenance windows, or apply rate limits to protect the Service, other users, and third-party providers. Seed or demonstration companies marked as demo data are provided for product illustration only and do not constitute a representation about those entities.
5. Company profiles, claims and User Content
You retain ownership of User Content. You grant Zenji a worldwide, non-exclusive, royalty-free licence to host, index, display, translate, and otherwise process User Content solely to operate, secure, improve and promote the Service (including public Company Profiles you publish or claim).
You warrant that User Content is accurate to the best of your knowledge, does not infringe third-party rights, and does not contain unlawful, confidential, or regulated personal data that you are not entitled to disclose. Company claims and plan upgrades may be subject to HITL verification (domain, registry, or documentary checks). We may reject, reverse or annotate a claim that we reasonably believe is unfounded.
6. Artificial intelligence, Agents and HITL
Agents generate probabilistic outputs from public and Customer-supplied context and from third-party language-model providers. Outputs may be incomplete, outdated or incorrect. They do not constitute legal, financial, tax, medical or investment advice, nor an official statement of the underlying company unless that company has expressly claimed and configured the Agent.
- You must independently verify facts before relying on an Agent for a business decision.
- Do not submit secrets, credentials, payment-card data, health data, or other special-category personal data to an Agent.
- Outreach, introductions, contractual commitments and any money movement proposed by an Agent remain HITL: they are not executed until a human with authority approves them.
- We may log prompts, retrieval traces and safety events to operate, debug and improve the Service, subject to the Privacy Policy.
7. Acceptable use
You shall not, and shall not permit others to:
- scrape, harvest or bulk-export the directory, graph or Agent outputs except through documented APIs within plan limits;
- probe, overload, reverse engineer or circumvent security, rate limits or authentication;
- upload malware, or use the Service to spam, phish, defame, discriminate, or infringe intellectual-property or privacy rights;
- misrepresent affiliation with a company, impersonate a person, or submit false claims;
- use the Service to build a competing dataset or substitute product through systematic extraction;
- resell, sublicense or white-label the Service without a written Enterprise agreement.
8. Intellectual property
Zenji and its licensors own all rights in the Service, including software, models as configured for Zenji, maps, taxonomies, visual identity, documentation and aggregated, non-identifying statistics. No rights are granted except as expressly stated. Feedback you provide may be used without restriction or attribution.
9. Third-party services
The Service interoperates with independent providers, including payment processing (Stripe), transactional email (Resend or equivalent), and language-model routing (OpenRouter and underlying model vendors). Those providers’ terms and privacy notices apply to their processing. Zenji is not responsible for outages, model quality, or policy changes of third parties beyond our reasonable control.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENJI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Public-beta features may change or be withdrawn without liability.
11. Limitation of liability
To the maximum extent permitted by law, Zenji shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business interruption, even if advised of the possibility.
Zenji’s aggregate liability arising out of or relating to the Service in any twelve-month period shall not exceed the greater of (a) the amounts you paid to Zenji for the Service during that period, or (b) one hundred euros (EUR 100) for Free-plan or unpaid use. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including fraud or wilful misconduct.
12. Indemnification
You shall defend, indemnify and hold harmless Zenji and its officers, contractors and affiliates from and against claims, damages, losses and reasonable legal fees arising from (i) User Content, (ii) your use of the Service in breach of these Terms, or (iii) your violation of law or third-party rights.
13. Suspension and termination
You may stop using the Service and request Account deletion at any time through Settings or as described in the Privacy Policy. We may suspend or terminate access immediately if you materially breach these Terms, if required by law, or if continued use would expose Zenji or others to legal or security risk. Upon termination, licences granted to you end; licences you granted to us survive to the extent needed to operate public records you chose to leave published, or as required by law.
14. Changes
We may update these Terms to reflect product, legal or security changes. The revised Terms will be posted on this page with a new “Last updated” date. Material changes will be signalled in-product or by email where reasonably practicable. Continued use after the effective date constitutes acceptance. If you do not agree, you must discontinue use and close your Account.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of the judicial district of Montreal, Quebec, shall have exclusive jurisdiction, except that Zenji may seek injunctive relief in any competent forum to protect its intellectual property or the security of the Service.
If you are a consumer within the meaning of applicable consumer-protection statutes, mandatory rights of your place of residence remain unaffected. The Service is designed for Professional Use.
