Terms of Sale

These Terms of Sale (the “Sales Terms”) govern the ordering, billing, tax treatment, renewal and cancellation of paid Zenji plans and add-ons. They apply in addition to the Terms of Use. They are intended for professional clients. If you purchase on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Contractual documents
The contract for paid services comprises, in descending order of precedence in case of conflict: (i) a signed Enterprise order form, if any; (ii) these Sales Terms; (iii) the pricing page and checkout summary at the time of order; (iv) the Terms of Use; and (v) the Privacy Policy.
2. Professional client
Paid plans are sold to businesses and professionals acting in the course of their commercial activity. You must provide complete and accurate billing identity (legal name, address, tax identifiers where required). Zenji may refuse or cancel an order if the purchaser is not a professional client or if KYC, fraud or sanctions screening so requires.
3. Offers and plans
Zenji currently publishes Free, Pro and Enterprise plans, billed monthly or annually, as described on the Pricing page. Feature lists, quotas, support levels and any availability percentages shown on marketing pages are descriptions of the current offer and are not a service-level agreement unless expressly included in a signed Enterprise order form.
Enterprise features such as air-gapped inference, custom data residency, dedicated success management or contractual uptime commitments are provided only if specifically ordered in writing. Public-beta capabilities may be labelled as such and may be modified or withdrawn.
4. Order and formation of contract
An order is formed when you complete Stripe Checkout (or an equivalent payment flow) and the payment is authorised, or when both parties sign an Enterprise order form. The checkout receipt, invoice and customer portal constitute proof of the transaction. You must review plan, interval, price and taxes before confirming payment.
5. Prices and taxes
Prices are those displayed at checkout in the indicated currency (currently euro, unless otherwise stated). They are exclusive of applicable taxes unless the checkout expressly includes tax. You are responsible for GST/HST, QST, VAT, sales tax or similar levies arising from your jurisdiction. Zenji may calculate and collect tax using the billing address and tax identifiers you provide (including Canadian federal and Quebec calculations where enabled).
Annual billing, where offered, is a prepayment for the selected term and may include a discount versus the monthly equivalent. Discounts are not cumulative unless expressly stated.
6. Payment
Payments are processed by Stripe, Inc. and its affiliates. Accepted methods are those Stripe enables for your region (typically major credit and debit cards, and where available SEPA or wallets). Zenji does not store full payment-card numbers. Failed payments may cause immediate restriction of paid features. You authorise Zenji and Stripe to charge the payment method on file for each renewal until cancelled.
7. Provision of the Service
Paid features are provisioned promptly after successful payment, subject to HITL review where a claim, verification badge or custom Agent configuration is required. Delivery is electronic. The Service is deemed made available when the relevant workspace capabilities are enabled on your Account.
8. Term, renewal and cancellation
Subscriptions renew automatically at the end of each monthly or annual period for a successive period of the same length, at the then-current list price unless a different price is locked in an Enterprise form. You may cancel auto-renewal at any time from the billing cockpit or the Stripe customer portal. Cancellation takes effect at the end of the paid period already invoiced; you retain access until that date.
Zenji may discontinue a plan with reasonable prior notice and will either migrate you to a reasonably comparable plan or stop charging for the discontinued plan.
9. Refunds
Except where mandatory law provides otherwise, fees are non-refundable, including unused portions of an annual term, once the Service has been made available. Chargebacks initiated without first contacting billing@zenji.app may result in Account suspension pending investigation.
If Zenji permanently withdraws a paid capability that was the primary subject of your order and cannot provide a reasonable substitute, we may, at our option, refund the unused prepaid portion on a pro-rata basis.
10. Late payment and suspension
Overdue amounts may accrue interest at the legal rate applicable in Quebec, plus any reasonable recovery costs. We may suspend paid features after notice if an invoice remains unpaid. Suspension does not cancel amounts already due.
11. Price changes
We may change list prices with at least thirty (30) days’ notice before the next renewal. The new price applies to subsequent periods unless you cancel before renewal. Enterprise prices specified in a signed order form remain in force for the term stated therein.
12. Commercial warranty
Zenji will provide the paid Service with reasonable skill and care consistent with industry practice for comparable SaaS. Except as required by mandatory law, no other warranty is given. Agent outputs, directory completeness and third-party model quality are not warranted.
13. Liability under the Sales Terms
The limitation of liability in the Terms of Use applies to paid services, provided that for paying Clients the cap in any twelve-month period shall be the amounts actually paid for the Service during that period. Mandatory rules on defective digital services remain reserved where they cannot be waived by professionals.
14. Force majeure
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including widespread network or cloud-provider outages, strikes, epidemics, acts of public authority, or failures of Stripe or model providers, provided the affected party gives prompt notice and mitigates.
15. Governing law
These Sales Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Courts of the judicial district of Montreal have exclusive jurisdiction, subject to the same consumer-law reservation as in the Terms of Use.
